GST and new Residential land Annexure

It’s finally here. That phoenixing provision you’ve been hearing so much about so we won’t repeat the details here. What we do want to tell you is that, FOR YOUR SAFETY, we have automatically included the Annexure every time you create a Residential contract (Vendor agent, buyer’s agent as well as HousingSA). Yes it will be annoying to start with but we are doing it out of love for your business. Not all and in fact hardly any transactions will need the Annexure but when you do, it must be there. After a few months, and after members are more familiar with its use, we will remove the automatic inclusion.

Other updates

Including relevant email provisions such that notices can be sent via email.

Cyber crime and deposits

With the recent spate of cyber crime interventions, we are working on some best practice recommendations to be employed. Watch this space!

New Form: FM6150 Pet Agreement

The pet agreement is here!!

Pets are an important part of the family and REISA has taken steps to ensure that tenants and landlords are protected by a pet agreement that reflects the obligations of a tenant towards keeping a pet in their rental property.

This new form has the form code FM6150 and is available in the Residential Property Management category as a standalone form and as an annexure within the FM6100 Residential Property Tenancy Agreement.

Commercial Forms: Electronic Signatures enabled

Finally, it’s here! REIWA in the west were the first to go live with DocuSign with Companies-now REISA is live.

Just remember that if you are using the signing clause of “A duly Authorised Officer” of the company then please utilise the Trustee Witness requirement (see the FAQs). Regardless of which execution clause you are using that involves a company entity, please continue to do your usual checks and searches to ensure referencing to the correct Directors. You must continue to do those searches to ensure you are dealing with the correct and up-to-date representatives of the Company that can properly deal in the land in question.

Update to Contracts – Residential, Commercial, Rural, Business

Monday the 4th of December, 2017

We have added the counter party clause automatically within the terms and conditions so as to ensure that however a set of documents get executed/signed, compiling them together (even though the purchaser and vendor signature are never on the same copy of the contract, means that there is a properly executed contract.

One word of warning – and by way of example, if the purchaser has signed a document anywhere in the world, and your vendor has also signed another copy of the contract then it will be argued that, due to the counter party clause, you have an executed agreement. Please be mindful of this when executing separate copies of the same contract.

Additional changes to Residential Contracts

  • Change to clause 15.6 – 14 business days to 10 business days
  • New clause 19.1.5 (default notice, reasonable costs)

These items have been changed to bring it into line with well recognised principles of law espoused by the Courts and to ensure certain action can be taken earlier, and costs recovered, than was otherwise the case.

Form update: FM8011 - Form 1 Disclosure Statement

Today we have updated the Form 1 Disclosure Statement, available in the Commercial and Industrial category of REI Forms Live.

Once again, we have listened to YOU and we have created a Notice to Enter Premises form and a Notice of Rent Increase form.

A Notice to Enter Premises (FM6350) can be used for your typical entry provisions under section 72 of the Residential Tenancies Act 1995 and the Notice of Rent Increase (FM6300) can be used under section 55 of the Residential Tenancies Act 1995.

Note: make sure you use the Notice of Rent Increase form in conjunction with the rent increase boxes in the Residential Tenancy Agreement.

You are not obliged to use these forms (i.e. an email to the tenant would also be sufficient) but if they are there and they are related forms, then go for it!

Both forms are available in the Residential Property Management category of REI Forms Live.

Changes to Rural Suite of Forms

REISA, in conjunction with the Rural and Regional Committee, is pleased to announce a shorter and improved Rural Sales Agency Agreement (RSAA).

REISA and the Committee have worked on the RSAA to ensure ease of use and convenience to members.

One feature of the new RSAA is a Detailed Property Schedule Annexure of questions to ask the Vendor for the purposes of marketing and selling the property.

The other annexures available for use with the new RSAA allow you to create a bespoke agreement.

For your convenience, the current RSAA and the new RSAA will run side by side during a short transition period.

The current RSAA (FM1120) will be available until mid January 2018 so please finalise any draft forms you have before transferring to the new version (FM1125).

Once the transition period has finished, REI Forms Live will implement an "end of line" process similar to the update process with an exclamation mark identifying that the form has been updated and once clicked the dialog will advise that the current Rural SAA (FM1120) can no longer be created and you will be upgraded to the new version of the form (FM1125).

As much information as possible will be transferred to the new version of the form.

This "end of line" process will also apply to templates, ensuring that you will not be producing the old version of the form after the transition period has finished.

Revised Auction documentation

We have updated our auction documentation! They are now shorter, sharper and more user friendly. The main changes relate to the fact that Bidder Registration documentation has been simplified and consolidated AND that today's electronic documentation reality means that even despite the actual buyer not being physically present on the day of auction, and using a proxy bidder, the actual purchaser can still execute the documentation anywhere in the world using software services such as DocuSign. Thank you to all the real estate professionals who are currently using DocuSign – the feedback has been incredible!

You can still use the existing documentation but upon any new print run if hard copy documentation is being produced, you will be required to use the newest revised documentation as this will be the only version available on REI Forms Live.

For those that like some of the particular detail:

Public Auction Terms – minor administrative changes such as removing reference to just “Terms” to now “Terms and Conditions”.

Authority to Act as an Auctioneer (between agent and auctioneer) – condensed and docusignable.

Vendor’s Reserve Instructions to Agent/Auctioneer – condensed version and also docusignable should the Vendor not be physically present.

Bidder Registration Form – consolidated and hence shortened to clarify what information is required and by whom; essentially avoids the doubling up of information when using a Proxy albeit removing any ambiguity when no Proxy is involved; ability for agreement for actual Prospective Purchaser to sign using DocuSign should you or they wish to (albeit a time limit of only 5 minutes to do so); clarification of information required when a Prospective Purchaser is a body incorporate.

Auction Record – minor clarifications and removing unnecessary signing by Vendor.

Combined Proxy – removed and combined with Bidder Registration Form.

CHANGES TO BUSINESS SALE CONTRACT

A number of administrative changes have been made to the Business Sale Contract.

The changes were made due to feedback received from the Committee.

NEW RTA - FORM 2 IS HERE

The Form 2 ‘Notice by landlord to remedy breach of agreement – Notice of termination’ has been updated to reflect information about delivery by ordinary post and to clarify existing requirements to complete and serve the notice on the tenant.

There will be a transition period for using the new Form 2. Old versions can still be used up until the end of September 2017. However, from 3 July 2017 landlords/agents are encouraged to complete the new Form 2.

For urgent attention: New Foreign Withholding Annexure - it captures more SA transactions now!

Tuesday the 20th of June, 2017

This impacts every sale above $750k on or after 1 July 2017.

As a result of the recent Federal Budget (and passed two nights ago), agents must now include the appropriate Annexure regarding Foreign Withholding Tax if the sale price on or after 1 July 2017 is $750k or above (reduced from the original higher amount of $2M). The reduction means more homes in South Australia will be covered and must have this Annexure included.

To protect members from any mistake, we are automatically including the Annexure when you prepare a contract. This puts the onus on you to uncheck and remove if the sale price is less the $750k. This automation will cease after a period of time when agents are more familiar with this requirement capturing more sales as a result of the reduction.

Those preparing contracts that are likely to be signed sealed and delivered prior to 30 June AND the sale price is above $2M must use the correct Annexure relevant to the $2M or above. On July 1, we will be removing that Annexure referring to the $2M amount as it ceases relevance and application given the reduced (and capturing more sales) threshold amount to $750k.

Any draft Contracts or templates you have created will appear with an update flag - this is a prompt for you to review your contract and determine if the annexure is required. Any newly created Contracts will have this annexure as a standard inclusion.

BOTTOM LINE-DON'T BE THE AGENT EXPLAINING TO YOUR VENDOR THAT THE PURCHASER HAS WITHHELD 12.5% OF THE SALE PRICE OF ANY RELEVANT SALE ABOVE $750k BECAUSE YOU FAILED TO INCLUDE THE FOREIGN WITHHOLDING ANNEXURE!

Updated: Form 2 - selectable annexures & additional fields

Today we have updated the Form 2 available on REI Forms Live.

This update introduces selectable annexures and additional fields to the Form 2.

Selectable annexures - when initially created, the Form 2 contains Schedule 1 Division 1 details and Execution pages. Any of the applicable Schedule 2, Division 2 (Land) and Division 3 (Environment Protection) responses can be added to this version via the annexures button within the form.

We have also provided additional fields at item 6d - to provide trading hours breakdown for each day of the week and extra employee fields at item 10. Please review your updated Form 2's for these new fields.

Update: Form 1 & Form 2

The Form 1 and Form 2 have been updated to reflect changes made to the Land and Business (Sale and Conveyancing) Regulations 2010.

They are extremely minor changes and involve removing the words “duplicate certificate of title for the common property” from the Particulars relating to a strata unit.

Update to Residential Contract

Wow! Awesome! Just two of the words used to describe the ease of use of the Docusign integration with REI Forms Live. Even so much so that people are already requesting the ability to do more than just two Purchasers and two Vendors as signatories. As a result, we have again listened and today we have updated FM2100 Residential Sales Contract to increase the number of signatories. You will now find 4 x Purchaser signatures and 4 x Vendor signatures available.

For users that are familiar with Related forms, you will find that there is one additional step. You will be prompted to select from a Standard form (blank) this is identical to the process that was in place previously or you will now be provided with an option to select from any templates that you have created of that type of related form!

Note: The information entered in the original/parent form will take precedence over the template data, meaning if the parent form has a field with a space in it, this will override the text that is held in the Template.

Update to Form R1

The Form R1 under the Land and Business (Sale and Conveyancing) Act 1994 has been updated to take into account new electronic conveyancing and verification of identity regulations.

Please note that there is a six month transition period ending on 7 February 2017 if you have any printed forms.

To update any draft forms or templates that you have with R1 attached, simply view the draft form or template and click the Update button when it appears.

  • Witness then receives email and also signs on the device they view the email to state they saw the signature applied to the screen

Bear witness to a property revolution in South Australia.

REISA has fought the battle for 3 years against traditional views and finally succeeded. Remember when REI Forms Live was the first in Australia to enable face to face signing in the presence of the real estate agent. Well that is even old news now!

The Electronic Transactions Act (ETA) which previously exempted real estate transactions has now been amended!

For real estate transactions - wet ink is now electronic.

Gone are the ETA days when real estate was not considered suitable for electronic communications.

Remember when everything was on paper and when your client was overseas, interstate or even regional, and your only option was "snail mail"?

Remember, after "snail mail" came email but you still had to send electronically, have customer print out, sign with wet ink, scan back in and send back to you electronically?

Those days are gone forever.

The new revolutionary way:

Fill details out in your contract in REI Forms Live

Click on the Docusign icon and first time users set up an account

Send the document to the Vendor/Purchaser nominated email address, along with their nominated witness email address

Then what-

Vendor/purchaser receives email and signs on screen on whatever device they receive the email, in the presence of their nominated witness; and

Witness then receives email and also signs on the device they view the email to state they saw the signature applied to the screen

Document is sent back to you - Signed, sealed and delivered.

FOREIGN RESIDENT WITHHOLDING REGIME Special Condition

When you create a property contract after 1 July, 2016, within REI Forms Live AND the amount payable for the property is equal to or greater than $2m., then you MUST attach the FOREIGN RESIDENT WITHHOLDING REGIME Special Condition. This special condition clearly articulates the requirements that the Conveyancers and/or Lawyers will need to follow to ensure that new regime applies correctly as at Settlement.

REISA has determined that a small percentage of total sales in South Australia exceeds this figure and as such we regard the attaching of the special condition as the best methodology (rather than the clause being included into all agreements).

In order to best ensure this important item is not missed or omitted for those properties selling at or above $2m., there is reference to this requirement within the Purchase Price item (Item 6) of the Agreements as well as the Special Conditions item.

It is recommended that when selling at auction and you reasonably anticipate a property may exceed the threshold requirement, you should include the Special Condition to be on the safe side (after all, the special condition makes it clear that only if the threshold is reached does the withholding provisions apply).

Contracts update for eConveyancing Conditions

Thursday the 2nd of June, 2016

After extensive consultation and debate, and due to the level of uncertainty with anything new surrounding the necessary level of prescription required to introduce eConveyancing into South Australia, REISA has incorporated the changes via an 'incorporation by reference' approach.

Over time we expect the uncertainty to decrease and hopefully so to the level of prescription.

The last clause in each of the property-related contracts more than adequately deals with this very important process issue to ensure settlement process is made clear. Again, until the level of uncertainty gets settled with the passage of time, REISA is intentionally keeping changes to the contracts to a minimum, whilst at the same time protecting you and your real estate clients.

If there are any agreements already executed between parties without the provision relating to eConveyancing, and should the Conveyancer or Legal Practitioner wish to use the eConveyancing process, the Legal Practitioner and Conveyancers (as the case may be) may need to execute a variation to the already executed agreement.

As is always the case, upon execution of the agreement for real property, all matters post execution should be the responsibility of those appointed to attend to the conveyance.

New Feature: Document Numbering

As we progress towards widening the scope of electronic signatures, we have introduced document numbers to your forms. You will see this number appearing on the top right hand corner, above the REISA logo.

Each form you create will have a unique number and when or if you need to duplicate a form, this number will be updated.

Update to FM6100 Residential Property Tenancy Agreement

GST News for Residential Contract

Well we have listened to our members again.

Many of you have requested that given less than ten percent of Residential Sales Contracts requires the detailed information relevant to GST, that the GST information be removed to shorten the contract. So how is it proposed to work now?

Simple - there is the traditional question in the Schedule of Items asking whether GST applies (and importantly stressing that you as an Agent must not provide taxation advice upon any sale).

Should you be advised to answer yes then simply attach the relevant GST Annexure to the Contract and proceed from there.

Simple!

New Form: Option to Purchase Land

An updated and revised Option to Purchase Land is now available within REI Forms Live.

Also, very importantly is the fact that it is already conveniently linked via the related document feature that is exclusive to REI Forms Live.

A word of caution though - please satisfy yourself of the appropriateness of the details you are required to include into the Option to Purchase document.

An Option to Purchase is just as important as a contract itself and hence caution should be used in filling out the document - if in doubt, seek help.

Christmas Closure

The REISA will be closed from 22 December and will re-open on Monday 4 January 2016, as a result the REI Forms Live Team will be taking a break from the phones.

Update to Form 1

Thursday the 3rd of December, 2015

Since early March REI Forms Live has made available three separate versions of the Form 1.

FORM 1
FORM 1 (split format)
FORM 1 (short version)

From today, we will only be offering a single option for your FORM 1.

This FORM 1 will contain the minimum seven Statutory Division 1 Items when first created (1.1, 1.2. 1.3, 1.4, 4.1, 4.2 and 5.1) and the Emergency Services Levy ("ESL") response.

Any of the applicable Division 1 and Division 2 Annexures will be available via the Annexures button that appears at the top of the form.

Other enhancements to this form are as follows:

Increased field space across the Form 1
Ability to add up to 4 statements relating to the Particulars of Building Indemnity Insurance
Ability to add up to 4 statements relating to the Particulars of transactions in the last 12 months
Consistent strikethroughs throughout the form
General formatting improvements

This new FORM 1 at its barest form, is now 11 pages long. When creating a complete FORM 1, it is now 60 pages in total.

When duplicating a previously finalised FORM 1 – no matter which version, you will be directed to this new FORM 1.

This most recent change to the FORM 1 is due to feedback received. Thank you to those agents and agencies that have taken the time to provide feedback on their REI Forms Live experience.

Additional Filtering options

We have expanded the search facility within the form screen of REI Forms Live, see image below:

The Search field is currently set to look for the form name (most Agencies use the street address as a unique identifier) within your forms list. The additional filtering fields now allow you to search by the form state (Draft, Final or Draft & Final) or by form creator (great for Principal users that are able to create and now search for forms by User name).

We have plans to continue to expand this search facility.

Update to FM2100 Residential Sales Contract

The Notice of Completion, pursuant to clause 15.6 has been extended from a minimum of three (3) days to a minimum of fourteen (14) days notice.

REISA, based upon that legal advice is satisfied that whilst a shorter time is permitted based upon the vagaries of any particular situation, it is preferential, based upon case law that we take a conservative view.

Members are asked that they be mindful of this generic minimum 14 days notice requirement and ensure that you take this matter into account when managing the expectations of a Vendor in such a situation.

New Related form: Residential Tenancy Agreement to Notice to Tenant of Lease Extension

New Form: FM6012 - Notice to Tenant of Lease Extension

Great news. REISA has added a Lease Extension form in response to overwhelming demand from its members.

All members should use this form when extending a residential property lease. Please note that it must not be used for periodic or short term fixed tenancies.

The Lease Extension form is CBS approved and sets out very clearly the requirement that the Lease Extension form be returned to your office no later then 28 days before the lease ends.

All offices must remember that unless you have a signed extension returned to your office in advance of this 28 day period, you should consider issuing the Form 2A to avoid the lease continuing as a periodic tenancy.

New Compendium Annexure for FM2100 Residential Contract

More good news - we have created a new Compendium Annexure for the Residential Contract (FM2100). In short, we have put Subject to Finance, Subject to Sale and Settlement and Subject to Settlement ALL on the one page to try and save you some time and money.

Whether you use the REI Forms Live electronically out in the field or whether you use hard copy, this compendium will hopefully help you streamline your documentation and how you use these forms.

Once again, this request was made by one of our members and the feedback and suggestions are always welcome.

Payment Gateway Issue | Resolved

Console now integrating with REI Forms Live

Wednesday the 13th of May, 2015

Console have announced that their new version of GatewayLive, version 7.29, is now integrated with REI Forms Live.

This version of GatewayLive is currently in "Early Release" to Console customers, and will be distributed in stages over the coming weeks.

  • Not a member? Apply for membership at www.reisa.com.au in the membership menu. After application a temporary number will be emailed to you
  • If you are a member and not financial, go to www.reisa.com.au and login to the members area then choose My Orders, locate the invoice issued on 8/12/2014 and choose the View button, then choose the red Make/Change payment button and complete the credit card payment option
